OrderChop Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website and services offered by OrderChop, a New Jersey limited liability company ("us", "we", "our" or "OrderChop"). This agreement sets forth the legally binding terms and conditions for your use of the website at www.orderchop.com (the "Site") and the services owned and operated by OrderChop (collectively with the Site, the "Service").
1. ACCEPTANCE OF TERMS
By using the Service in any manner, including, but not limited to, visiting or browsing the Site, you agree to be bound by these Terms. These Terms apply to all users of the Service, including, without limitation, users who are vendors, customers, merchants, contributors of content, information, and other materials or services on the Site.
2. DESCRIPTION OF SERVICE
OrderChop is an online platform that connects consumers with local restaurants ("Merchants") to allow them to order food and beverages for delivery or pickup. The Service allows you to browse, order, and pay for products from participating Merchants.
To place an order through our Service, you can optionally register for an account. If you create an account, you agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. OrderChop reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.
When you place an order through our Service, you will be required to provide payment information directly to the Merchant from whom you are purchasing. You represent and warrant that such information is true and that you are authorized to use the payment instrument.
On the checkout page, a "Support Local Fee" may be displayed. This fee is collected by OrderChop to assist local restaurants in leveraging technology to offer the convenience of online ordering. By completing your purchase, you acknowledge and agree that the Support Local Fee is part of your total payment and that part of it will be remitted to OrderChop.
You acknowledge and agree that you are responsible for paying all fees and applicable taxes associated with your order. OrderChop reserves the right to change its fee list and to institute new charges at any time, with regard to the Support Local Fee or any future service fees that may be implemented.
5. RELATIONSHIP WITH MERCHANTS
OrderChop is not a restaurant or food preparation entity. The restaurants and food vendors ("Merchants") featured on our platform operate independently from OrderChop. These Merchants are required to comply with all applicable federal, state, and local laws, rules, regulations, and standards pertaining to the preparation, sale, and marketing of food, including but not limited to food preparation, safety, and menu disclosure.
OrderChop is not liable or responsible for the Merchants’ food preparation or safety and does not verify their compliance with any applicable laws. In addition, OrderChop does not guarantee the quality of what the Merchants sell, nor does it independently verify, and is not liable for, any statements or representations made by the Merchants, whether on or through the platform. As such, OrderChop shall not be liable for any damages or harm resulting from your interactions with the Merchants.
By using the Service, you acknowledge and agree that OrderChop is not responsible for examining or warranting the offerings of any of the Merchants, and you understand that all sales are made directly between you and the Merchants. OrderChop has no control over the quality, safety, morality or legality of any aspect of the items listed, the truth or accuracy of the listings, the ability of Merchants to sell items or the ability of buyers to pay for items.
6. DELIVERY SERVICE
OrderChop is not a delivery service. Delivery of orders placed through our Service is carried out either by the Merchants themselves or through third-party delivery partners ("Delivery Partners") who operate independently from OrderChop. The delivery times displayed on the platform are estimates only, and OrderChop does not guarantee that orders will be delivered within the estimated times.
OrderChop does not control and is not responsible for the actions or omissions of the Merchants or the Delivery Partners, including, without limitation, their compliance with applicable laws or regulations. As such, OrderChop shall not be liable for any damages or harm resulting from the delivery of your order.
By using the Service, you acknowledge and agree that OrderChop disclaims all liability for any harm resulting from your interactions with the Delivery Partners or the Merchants' delivery services.
7. CHANGES TO TERMS OF SERVICE
OrderChop reserves the right, in its sole discretion, to change these Terms at any time. If we make changes, we will provide you with notice of such changes by sending an email, providing a notice through our Services, or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice will confirm your acceptance of the changes.
8. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of the State of New Jersey, without respect to its conflict of laws principles.
